SELLER TERMS & PRIVACY POLICY

Applicability: This document applies to all manufacturers, brand owners, distributors, wholesalers, traders, importers, aggregators, and suppliers (collectively referred to as “Sellers” or “Vendors”) who supply goods and/or services to Electric Ji.

This document constitutes a legally binding agreement between Electric Ji and the Seller. By onboarding onto the Electric Ji platform, listing products, accepting or fulfilling purchase orders, issuing invoices, or supplying goods or services to Electric Ji, the Seller expressly acknowledges, agrees to, and is bound by all the terms, conditions, representations, warranties, and obligations set out below.

1. ROLE & COMMERCIAL STRUCTURE

1.1 Electric Ji’s Role (Reseller Model – Goods)

  • Electric Ji procures goods from Sellers against a valid tax invoice raised by the Seller.
  • Title and risk in the goods transfer to Electric Ji upon dispatch or delivery, as mutually agreed.
  • Electric Ji resells such goods to end consumers under its own brand name, invoice, and GST registration.
  • For consumer-facing transactions, Electric Ji acts as the Seller of Record.

1.2 Seller’s Role

  • The Seller is the original manufacturer, importer, or authorized supplier of the goods.
  • The Seller remains solely responsible for the origin, authenticity, quality, safety, compliance, and legality of all goods supplied to Electric Ji.

1.3 Services (If Applicable)

Where the Seller also provides services such as installation, repair, inspection, or commissioning:

  • Such services are performed independently by the Seller or its appointed technicians.
  • Electric Ji may facilitate service bookings or coordination but does not supervise, control, or execute the services.

2. SELLER REPRESENTATIONS, WARRANTIES & COMPLIANCE

The Seller represents, warrants, and undertakes that:

  • All goods supplied are new, genuine, authentic, unused, and lawfully sourced.
  • Goods comply with all applicable Indian laws and regulations, including but not limited to:
    • Consumer Protection Act, 2019
    • Legal Metrology (Packaged Commodities) Rules, 2011
    • BIS / IS / IEC standards (where applicable)
    • Brand authorization and intellectual property requirements
    • Import, customs, and foreign trade laws (for imported goods)
  • The Seller has full legal right, title, authority, and capacity to sell the goods to Electric Ji.
  • No goods supplied are counterfeit, spurious, refurbished (unless expressly disclosed), prohibited, stolen, or illegally manufactured or sourced.
  • All mandatory declarations, including manufacturer name and address, country of origin, MRP, batch number, serial number, and safety markings, are correctly printed on product packaging as required by law.

3. PRODUCT QUALITY, DEFECTS & RECALLS

3.1 Seller Responsibility

The Seller shall be solely and fully responsible for:

  • Manufacturing and latent defects
  • Quality failures and non-conformities
  • Safety hazards and electrical failures arising from product defects
  • Product-related fire, damage, or injury claims
  • Brand infringement or mislabeling claims
  • Statutory violations and regulatory non-compliance

3.2 Recalls & Safety Notices

  • The Seller must immediately notify Electric Ji of any product recall, safety alert, defect notice, or regulatory action.
  • The Seller shall bear all costs related to recalls, replacements, refunds, logistics, penalties, and customer remediation.

4. FRAUD, COUNTERFEIT & MISREPRESENTATION

4.1 Zero-Tolerance Policy

Electric Ji maintains a zero-tolerance policy toward:

  • Counterfeit or fake products
  • Unauthorized branding or labeling
  • False specifications or certifications
  • MRP manipulation, GST fraud, or invoice misrepresentation

4.2 Consequences of Supplier Fraud

If any fraud, misrepresentation, or non-compliance is detected or reasonably suspected, Electric Ji may, without prejudice to other rights:

  • Immediately suspend or terminate the Seller account
  • Blacklist the Seller across the Electric Ji ecosystem
  • Withhold or forfeit pending payments
  • Recover losses, refunds, penalties, and investigation or legal costs
  • Report the Seller to brand owners, regulators, and law enforcement authorities

5. INDEMNITY & FINANCIAL LIABILITY

5.1 Indemnity Obligation

The Seller agrees to fully indemnify and hold harmless Electric Ji, its directors, officers, employees, and partners against:

  • Consumer complaints, disputes, and claims
  • Product liability, defect, or safety-related claims
  • Counterfeit, fake, or non-compliant products
  • Regulatory penalties, notices, or actions
  • Intellectual property infringement claims
  • Any losses, damages, or costs arising due to Seller-supplied goods

5.2 Consumer Refunds, Returns & Replacements

  • Any refunds, returns, replacements, or compensatory actions initiated due to product-related issues (including but not limited to defects, wrong items, false description, non-compliance, or quality concerns) within the applicable consumer return/refund time frame shall be fully borne and reimbursed by the Seller.
  • Electric Ji may, at its discretion and in the interest of consumer satisfaction, initiate a refund, replacement, return, partial refund, or any other remedial action requested by the consumer or deemed appropriate.
  • All such actions, including product value, logistics, reverse pickup, handling charges, taxes, and associated costs, shall be recoverable from the Seller.

5.3 Recovery & Set-Off Rights

Electric Ji may recover refund-related amounts by:

  • Deducting from Seller payouts or security deposits
  • Raising debit notes
  • Adjusting future settlements
  • Initiating legal recovery proceedings if required

5.4 Platform & Website-Related Issues

  • Issues arising solely due to the Electric Ji website, platform functionality, payment gateway errors, or technical failures shall be addressed and handled by Electric Ji.
  • Product-related issues, however, shall remain the sole responsibility of the Seller, irrespective of whether Electric Ji interfaces with the consumer.

6. INSPECTION, AUDIT & VERIFICATION RIGHTS

Electric Ji reserves the right to:

  • Conduct periodic, random, or risk-based audits
  • Request invoices, batch details, test reports, and authorization documents
  • Verify supply-chain sources and procurement practices
  • Inspect warehouses, records, or facilities (physically or digitally)

Failure to cooperate with audits or verification requests shall constitute a material breach of these Terms.

7. PAYMENTS, PRICING & TAXES

  • Sellers shall issue valid GST-compliant invoices to Electric Ji.
  • Sellers are responsible for correct tax classification, valuation, and statutory compliance.
  • Any tax demand, penalty, or interest arising due to Seller misclassification or non-compliance shall be borne solely by the Seller.
  • Payment timelines, settlement cycles, and deductions shall be governed by separate commercial arrangements and may be withheld during disputes, audits, or investigations.

8. CONFIDENTIALITY & DATA PROTECTION (SELLER PRIVACY POLICY)

8.1 Data Collected from Sellers

Electric Ji may collect and process:

  • Business and personal contact information
  • KYC documents and identity proofs
  • GST, PAN, bank, and payment details
  • Supply-chain, invoice, and transaction data
  • Communications and correspondence

8.2 Use of Seller Data

Seller data is used strictly for:

  • Onboarding, verification, and compliance checks
  • Order management, payments, and settlements
  • Fraud detection, risk assessment, and audits
  • Legal, regulatory, and contractual obligations

8.3 Data Sharing

Seller data may be shared with:

  • Banks, auditors, insurers, and payment partners
  • Legal advisors, regulators, and law enforcement agencies where required by law

Electric Ji does not sell Seller data to third parties.

9. CONSENT TO CONTACT, INVESTIGATION & DISCLOSURE

By onboarding, the Seller provides explicit, informed, and irrevocable consent that Electric Ji may:

  • Contact the Seller via phone, email, SMS, WhatsApp, or other official communication channels
  • Conduct investigations relating to consumer complaints, fraud, counterfeit allegations, or regulatory inquiries
  • Disclose Seller information to authorities, brand owners, or legal bodies where legally required or reasonably necessary

This consent shall survive termination of the Seller relationship.

10. SUSPENSION & TERMINATION

Electric Ji may suspend or terminate Seller access, with or without notice, if:

  • Fraud, counterfeit activity, or material non-compliance is suspected or established
  • Legal or regulatory risk arises
  • The Seller breaches these Terms or applicable law

Termination shall not affect Electric Ji’s rights to recover losses, enforce indemnities, or pursue legal remedies.

11. LIMITATION OF ELECTRIC JI LIABILITY

To the maximum extent permitted by applicable law:

  • Electric Ji shall not be liable for manufacturing defects, product failures, or misconduct attributable to the Seller.
  • Electric Ji’s liability toward the Seller, if any, shall be limited strictly to unpaid, undisputed amounts owed under confirmed commercial arrangements.

12. GOVERNING LAW & JURISDICTION

These Seller Terms shall be governed by and construed in accordance with the laws of India. Courts of competent jurisdiction in India shall have exclusive jurisdiction over all disputes.

13. ACCEPTANCE & BINDING EFFECT

By supplying goods or services to Electric Ji, the Seller confirms that they have:

  • Read, understood, and agreed to these Seller Terms
  • Made all representations truthfully
  • Provided valid consent for data usage, verification, and investigations

These Seller Terms are legally binding and enforceable and shall continue to apply even after the Seller ceases to supply to Electric Ji.

IMPORTANT NOTE: These Seller Terms operate independently of Electric Ji’s Consumer Terms & Conditions, Privacy Policy, and Refund & Exchange Policy, and shall remain enforceable notwithstanding any termination or suspension of the Seller relationship.
